What to Know Before You File

  • Registered Agent: Every state requires your business to designate a registered agent. This must be a real person or authorized company with a physical address in the state—P.O. Boxes won’t cut it. They must be available during normal business hours to receive legal documents and official notices on your behalf.

  • Operating Agreements: Only California, Missouri, and New York legally require LLCs to have an operating agreement. However, we strongly recommend creating one no matter where you’re forming your business. It helps outline roles, responsibilities, and protections—and can prevent future conflicts.

  • Ohio Is Unique: Unlike other states, Ohio doesn’t require any annual or biennial LLC reports, which means fewer ongoing filings to keep track of.

  • State Fees Vary: Initial formation fees range widely—from around $35 in Montana to $500 in Massachusetts. Annual or biennial report fees can range from free to several hundred dollars, depending on the state.
